These Terms and Conditions ("Terms") govern your access to and use of the Ratify Ballot Box, the Ratify Nation website, and related services that link to these Terms (collectively, the "Services").

The Services are operated by Ratify Nation, Inc. ("Ratify," "we," "us," or "our").

By accessing, participating in, or using the Ratify Ballot Box, you agree to these Terms. If you do not agree to these Terms, please do not use the Services.

1. About the Ratify Ballot Box

The Ratify Ballot Box is an interactive entertainment and engagement experience that allows users to participate in polls, ballots, rankings, voting activities, and other interactive content.

Ballot Box results are intended primarily for entertainment, engagement, research, and informational purposes.

Unless Ratify expressly states otherwise, Ballot Box results do not constitute an official election, professional ranking, industry certification, or independently verified public-opinion survey.

2. Eligibility

You must be legally permitted to use the Services under the laws applicable to you.

Users under the age of 13 should not submit personal information through the Ratify Ballot Box without appropriate authorization or as otherwise permitted by applicable law.

If you are using the Services on behalf of an organization, you represent that you have authority to act on behalf of that organization.

3. Ballot Participation

Ratify may establish rules for individual ballots, polls, rankings, or other activities.

These rules may include:

  • •The number of votes permitted
  • •Voting periods
  • •Eligibility requirements
  • •Methods used to verify participation
  • •Geographic or other participation restrictions
  • •Methods used to calculate results
  • •Procedures for addressing suspicious or fraudulent activity

By participating, you agree to comply with any rules displayed for the applicable Ballot Box activity.

4. Voting Integrity

Users may not manipulate or attempt to manipulate Ballot Box results.

Prohibited activity includes, but is not limited to:

  • •Automated voting
  • •Use of bots, scripts, macros, or similar technology
  • •Circumventing voting limits
  • •Creating or using fraudulent identities or accounts
  • •Manipulating device, browser, network, or identifying information to obtain unauthorized additional votes
  • •Interfering with another person's participation
  • •Exploiting vulnerabilities or technical errors
  • •Attempting to gain unauthorized access to Ratify systems
  • •Coordinating fraudulent or artificial voting activity

Ratify may use reasonable technical and administrative measures to identify and prevent suspected manipulation.

5. Invalid or Suspicious Votes

Ratify reserves the right to investigate voting activity and to remove, exclude, invalidate, or disregard votes or submissions that we reasonably determine violate these Terms, applicable ballot rules, or the integrity of the Ratify Ballot Box.

Ratify may also restrict or suspend access when reasonably necessary to protect the Services or the integrity of voting results.

Our decisions regarding suspected fraudulent or invalid participation will be made in good faith based on the information reasonably available to us.

6. Ballot Results

Ballot Box results may change while voting remains open.

Results may be based on submissions received through Ratify and should not necessarily be interpreted as representing the opinions of the general population or any particular demographic group.

Ratify may publish, display, analyze, aggregate, or otherwise use Ballot Box results in connection with Ratify's business, products, research, marketing, entertainment content, and services.

Ratify may correct results when reasonably necessary because of technical errors, duplicate submissions, fraudulent activity, data-processing errors, or similar circumstances.

7. No Purchase Necessary

Unless expressly stated otherwise for a particular promotion or activity, no purchase is necessary to participate in the Ratify Ballot Box.

Participation in the Ballot Box does not require the purchase of future Ratify products or services.

If Ratify later conducts a contest, sweepstakes, giveaway, or promotion involving prizes, separate official rules may apply.

8. User Submissions

Certain Ratify features may allow users to submit comments, suggestions, feedback, nominations, responses, or other content ("User Submissions").

You retain any rights you may have in your original User Submissions.

By submitting content to Ratify, you grant Ratify a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, modify, and otherwise use the submission as reasonably necessary to operate, promote, improve, and develop the Services.

You represent that you have the right to submit any content you provide and that your submission does not violate the rights of another person or entity.

Do not submit confidential, proprietary, defamatory, unlawful, infringing, threatening, or harmful material.

9. Intellectual Property

The Ratify name, Ratify Ballot Box, logos, branding, graphics, designs, software, interfaces, original content, and other Ratify materials are owned by or licensed to Ratify Nation, Inc. and are protected by applicable intellectual-property laws.

Nothing in these Terms grants you ownership of Ratify intellectual property.

You may not copy, reproduce, distribute, modify, sell, license, reverse engineer, commercially exploit, or create derivative works from Ratify-owned materials except as permitted by law or with Ratify's written authorization.

10. References to Artists, Songs, Brands, and Other Third Parties

The Ratify Ballot Box may reference artists, entertainers, songs, albums, cultural topics, companies, brands, products, public figures, or other third parties as part of polls, rankings, discussions, or entertainment content.

Unless expressly stated otherwise, the inclusion of a person, artist, company, product, song, brand, or other third party does not mean that the third party sponsors, endorses, partners with, or is affiliated with Ratify.

All third-party trademarks, names, and other intellectual property remain the property of their respective owners.

11. Acceptable Use

You agree not to use the Services to:

  • •Violate applicable laws or regulations
  • •Harass, threaten, impersonate, or harm another person
  • •Upload or distribute malicious software or code
  • •Attempt unauthorized access to Ratify systems
  • •Interfere with the operation or security of the Services
  • •Scrape, harvest, or systematically extract information without authorization
  • •Manipulate Ballot Box results
  • •Infringe intellectual-property, privacy, publicity, or other legal rights
  • •Use the Services for fraudulent or deceptive purposes

12. Availability and Changes to the Services

Ratify may modify, suspend, discontinue, or restrict any portion of the Ballot Box or related Services.

We may also:

  • •Add or remove ballots
  • •Change voting periods
  • •Modify features
  • •Correct technical problems
  • •Perform maintenance
  • •Introduce new Ratify experiences
  • •Change how results are presented

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

13. Privacy

Your use of the Services is also subject to the Ratify Ballot Box Privacy Policy.

The Privacy Policy explains how Ratify may collect, use, disclose, retain, and protect information associated with your use of the Ballot Box and related Services.

14. Third-Party Services and Links

The Services may contain links to third-party websites, platforms, or services.

Ratify does not control and is not responsible for the availability, content, security, privacy practices, products, or services of third parties.

Your interactions with third-party services are governed by the applicable third party's own terms and policies.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

RATIFY MAKES NO GUARANTEE THAT:

  • •THE SERVICES WILL ALWAYS BE AVAILABLE OR ERROR-FREE;
  • •BALLOT RESULTS WILL BE FREE FROM ALL ATTEMPTS AT MANIPULATION;
  • •ALL TECHNICAL ERRORS WILL BE IDENTIFIED;
  • •THE SERVICES WILL MEET EVERY USER'S EXPECTATIONS; OR
  • •INFORMATION PROVIDED THROUGH THE SERVICES WILL ALWAYS BE COMPLETE OR ACCURATE.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RATIFY NATION, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, DAMAGES ARISING FROM LOSS OF DATA, SERVICE INTERRUPTION, UNAUTHORIZED ACCESS, THIRD-PARTY CONDUCT, OR RELIANCE ON BALLOT BOX RESULTS.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Ratify Nation, Inc. and its officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from your unlawful use of the Services, your violation of these Terms, or your violation of another party's rights.

18. Termination or Restriction of Access

Ratify may suspend, restrict, or terminate access to the Services when we reasonably believe a user has:

  • •Violated these Terms
  • •Manipulated or attempted to manipulate voting
  • •Engaged in fraudulent or abusive activity
  • •Created a security risk
  • •Violated applicable law
  • •Interfered with Ratify's operations or other users

19. Governing Law

These Terms will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where applicable law requires otherwise.

20. Changes to These Terms

Ratify may update these Terms as our Services evolve or as necessary to address legal, operational, security, or business requirements.

When these Terms are updated, the "Last Updated" date at the top of this document will be revised.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

21. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

22. Entire Agreement

These Terms, together with the Ratify Ballot Box Privacy Policy and any specific rules presented for a particular Ratify activity, constitute the agreement between you and Ratify concerning your use of the Ratify Ballot Box.

Specific promotional, contest, sweepstakes, or event rules may supplement these Terms.
